Financial Reporting

The Company currently prepares its financial statements under UK GAAP, specifically FRS 102 (The Financial Reporting Standard applicable in the UK and Republic of Ireland), filing abridged accounts under the small-companies regime and taking the small-company audit exemption. The Company intends to transition to International Financial Reporting Standards (IFRS) during or after the period commencing 01 July 2026, with prior FRS 102 figures restated as IFRS comparatives. However, as a closely held company, the Company may choose to continue to report for statutory purposes under FRS 102.

This transition reflects two developments. First, as our production scales and revenues grow, the Company is moving beyond the small-company regime under which abridged, unaudited accounts are permitted and will have to report under IFRS. Adopting full IFRS financial statements ahead of that threshold means our reporting keeps pace with the business rather than catching up to it, and gives our customers, growers, partners and investors a clearer and more complete view of the company.

Second, IFRS is the internationally recognised reporting framework. As the Company develops its presence across UK, European and North American markets, reporting under a single, globally understood standard supports consistent, comparable financial information across the geographies in which we operate and intend to operate. Where our accounting policy choices allow, we will select treatments that are consistent with both IFRS and, where relevant, US GAAP, so that our reporting is well positioned for international growth.

We see this step as part of building the Company into a durable, well-governed business for the long term by adopting the disciplines of a larger company early, and by design, rather than retrofitting them later.
